1. Acceptance of Terms
By accessing, browsing, or using the uAUTH platform, website, APIs, or any associated services (collectively, the "Service"), operated by uAUTH Inc., a Delaware corporation ("Company," "we," "us," or "our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, which is incorporated herein by reference.
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Service.
2. Description of Service
uAUTH is an AI-powered insurance verification platform that enables contractors, restoration professionals, and authorized businesses to verify homeowner insurance coverage directly with insurance carriers. The Service retrieves carrier-verified policy data — including but not limited to coverage type (Replacement Cost Value, Actual Cash Value, Repair Payment Schedule), deductible amounts, policy status, exclusions, endorsements, and coverage limits — through a secure, consent-based verification process.
The Service is intended for use by licensed contractors, restoration professionals, and businesses operating in the insurance claims and property restoration industry. The Service is not intended for use by individual consumers for personal insurance inquiries.
3. Account Registration & Eligibility
To access the Service, you must create an account and provide accurate, complete, and current registration information, including your legal name, business name, email address, and any other information we may require. You agree to promptly update your account information to keep it accurate and current.
You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to immediately notify us at support@uauth.tech of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.
You represent and warrant that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and are not barred from using the Service under any applicable law.
4. Permitted Use & Restrictions
You agree to use the Service solely for lawful business purposes related to insurance verification in the context of restoration, roofing, contracting, property claims, or similar professional services. You shall not, and shall not permit any third party to:
- Use the Service to obtain, access, or attempt to access insurance data without proper, documented homeowner consent
- Share, resell, sublicense, redistribute, or otherwise make available verified policy data to unauthorized third parties
- Use the Service or any data obtained through it for purposes of discrimination, harassment, or any unlawful purpose
- Attempt to reverse-engineer, decompile, disassemble, or derive source code from any part of the Service
- Use the Service for any fraudulent, deceptive, misleading, or illegal activity
- Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure
- Circumvent, disable, or otherwise interfere with any security-related features of the Service
- Use automated scripts, bots, scrapers, or similar tools to access the Service without our prior written consent
- Misrepresent your identity, affiliation, or the purpose for which you are requesting a verification
- Use the Service in violation of any applicable federal, state, or local law or regulation, including but not limited to insurance regulations, consumer protection laws, and data privacy laws
We reserve the right to investigate and take appropriate action against any User who, in our sole discretion, violates these restrictions, including without limitation, removing content, suspending or terminating the User's account, and reporting violations to law enforcement authorities.
5. Verification Process, Consent & Compliance
All insurance verification requests initiated through the Service require explicit, informed consent from the policyholder ("Homeowner"). You are solely responsible for ensuring that proper consent has been obtained from the Homeowner prior to initiating any verification request. Such consent must be freely given, specific, and informed.
uAUTH facilitates a secure, consent-based authentication process in which the Homeowner directly authenticates with their insurance carrier. At no point are carrier login credentials transmitted to, shared with, accessed by, or stored by you or uAUTH. The authentication occurs through a secure, encrypted connection directly between the Homeowner and their carrier.
You acknowledge and agree that you shall comply with all applicable federal, state, and local laws, rules, and regulations governing the collection, use, storage, and disclosure of insurance information, including but not limited to the Gramm-Leach-Bliley Act (GLBA), state insurance privacy regulations, the Fair Credit Reporting Act (FCRA) to the extent applicable, and any other applicable consumer protection or data privacy laws.
You shall maintain records of Homeowner consent for each verification initiated and shall make such records available to uAUTH upon request within ten (10) business days. Failure to maintain adequate consent records may result in immediate suspension or termination of your account.
6. Confidentiality
You acknowledge that insurance policy data, verification results, and any other information obtained through the Service ("Confidential Information") is sensitive and must be treated with the highest degree of confidentiality. You agree to:
- Use Confidential Information solely for the purpose for which the verification was requested
- Restrict access to Confidential Information to authorized employees and agents who have a legitimate business need to access it
- Implement and maintain reasonable administrative, technical, and physical safeguards to protect Confidential Information from unauthorized access, use, or disclosure
- Promptly notify uAUTH of any known or suspected unauthorized access to or disclosure of Confidential Information
- Not use Confidential Information for any purpose other than the specific business transaction for which the Homeowner provided consent
7. Pricing, Payment & Billing
The Service is billed on a per-verification basis at the rate displayed on our pricing page at the time of each transaction. By initiating a verification, you authorize us to charge the applicable fee to your designated payment method. All fees are quoted and payable in United States Dollars (USD).
All fees are non-refundable unless otherwise expressly stated in writing by uAUTH. If a verification fails due to a technical error attributable solely to the Service (and not to carrier downtime, incorrect Homeowner credentials, or other factors outside our control), you may request a credit by contacting support@uauth.tech within seven (7) days of the failed verification.
We reserve the right to modify our pricing at any time with thirty (30) days' prior written notice via email or through the Service. Your continued use of the Service after the effective date of a pricing change constitutes your acceptance of the new pricing. There are no setup fees, monthly minimums, or long-term contracts required.
You are responsible for any applicable taxes, duties, or governmental assessments associated with your use of the Service. Failure to pay fees when due may result in suspension or termination of your account and, at our discretion, referral to a collection agency.
8. Data Accuracy & Disclaimer
uAUTH retrieves policy data directly from insurance carriers and utilizes artificial intelligence and machine learning technologies to extract, analyze, and present coverage details. While we employ commercially reasonable efforts to ensure accuracy, you acknowledge and agree that:
- Verification results are provided for informational and professional reference purposes only and do not constitute insurance advice, legal advice, or a guarantee of coverage
- Data retrieved may contain errors, omissions, or inaccuracies due to carrier data formatting, policy amendments, or processing delays
- Coverage details, policy terms, and conditions are subject to change by the carrier at any time and may not reflect the most current policy status
- You should independently verify all critical coverage details directly with the insurance carrier before making business decisions, signing contracts, or commencing work
- uAUTH is not an insurance company, insurance broker, or insurance advisor, and the Service does not replace professional insurance consultation
uAUTH expressly disclaims any and all liability for decisions made or actions taken based on verification results provided through the Service.
9. Intellectual Property
All right, title, and interest in and to the Service, including but not limited to all software, algorithms, machine learning models, user interfaces, designs, text, graphics, trademarks, service marks, trade names, logos, and other intellectual property ("uAUTH IP"), are and shall remain the exclusive property of uAUTH Inc. and its licensors, protected by United States and international intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes. This license does not include any right to modify, distribute, sell, lease, or create derivative works based on the Service or any uAUTH IP.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UAUTH INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY VERIFICATION RESULTS, DATA, OR CONTENT PROVIDED THROUGH THE SERVICE
- WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM UAUTH OR THROUGH THE SERVICE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UAUTH INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR USE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF UAUTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO UAUTH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
THE LIMITATIONS OF THIS SECTION SHALL APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless uAUTH Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) your failure to obtain proper Homeowner consent prior to initiating a verification; (e) any unauthorized disclosure or misuse of Confidential Information; (f) your violation of any third-party rights, including any intellectual property, privacy, or publicity rights; or (g) any dispute between you and a Homeowner, insurance carrier, or any third party arising from your use of the Service.
13. Dispute Resolution & Arbitration
Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@uauth.tech and attempt to resolve any dispute informally for at least thirty (30) days.
Binding Arbitration. If the dispute cannot be resolved informally, you and uAUTH agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in the State of Delaware. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Class Action Waiver. YOU AND UAUTH AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.
14. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that any lawsuit or court proceeding is permitted hereunder, you and uAUTH agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the State of Delaware for the purpose of litigating any such dispute.
15. Termination
You may terminate your account at any time by contacting support@uauth.tech. We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or if your use poses a risk to the Service, other users, or third parties.
Upon termination: (a) your right to access and use the Service will immediately cease; (b) you must immediately discontinue all use of Confidential Information obtained through the Service; (c) all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6 (Confidentiality), 9 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), and 14 (Governing Law).
16. Force Majeure
uAUTH shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, carrier system outages, cyberattacks, or any other event outside our reasonable control.
17. Modifications to Terms
We reserve the right to modify these Terms at any time in our sole discretion. We will provide notice of material changes by posting the updated Terms on this page, updating the "Last updated" date, and, for material changes, sending an email notification to the address associated with your account. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, you must discontinue use of the Service.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and these Terms shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein. The remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or agreements published by uAUTH on the Service, constitute the entire agreement between you and uAUTH concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and uAUTH with respect to the Service. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
